BY-LAWS of the ROCKLAND COUNTY SCHOOL BOARD ASSOCIATION

ARTICLE I – NAME

The name of the organization shall be the "Rockland County School Boards Association" (herein after “Association”).

ARTICLE IF- PURPOSE/GOALS

The purpose of this Association shall be to improve the services rendered by the school districts of Rockland County through the cooperative effort of the members of Rockland's constituent schoolboards. This purpose is to be advanced by discussion of common problems, research activities resulting in advisory recommendations, coordination of legislative activities, coordinating of training seminars for school trustees and community members, and fostering a greater civic and school consciousness among the citizens of the school districts of Rockland County.

This Association subscribes to the aims and objectives of the New York State School Boards Association and may send delegates to the organization's meetings and conferences when requested.

ARTICLE III - MEMBERSHIP

Each Board of Education in Rockland County, including BOCES, may become a member by signifying its intention to do so and by payment of annual dues as provided by Article IV.

Additionally, to ensure continuing liaison between this Association and New York State School Boards Association and the New York State PTA, the individual serving as Area 10 Director of the New York State School Boards Association shall be appointed as an "ex officio" member of the Association. Similarly, a regional representative of the New York State PTA Association shall be appointed as an "ex officio” member of the Association. Ex Officio Association members are non voting members, who are not included in the official count for quorum purposes and they are not required to pay annual dues.

ARTICLE IV – FINANCE

The fiscal year of the Association will commence on July 1 and end on June 30, consistent with the school year.

The budget for the following school year will be drawn up by the Executive Committee and presented for approval at an annual meeting in the spring, before the school year to which the

budget will apply. The budget will include both projected income and disbursements, and indicate the level of support anticipated from each district in the form of dues.

Dues will be payable to the Association during the first quarter of the school/fiscal year.

ARTICLE V – MEETINGS

There will be a minimum of four meetings per year, one in each quarter. The June dinner meeting shall be designated as the annual meeting.

Special meetings may be called by the President and approved by consent of three member Boards.

ARTICLE VI - REPRESENTATION

Each member Board of Education will be asked to designate a representative and alternate representative (hereinafter “Representatives") to represent each member Board of Education at the Association meetings. Notwithstanding this, each member Board may be represented in meetings of the Association by as many Board trustees as that Board chooses to send. All persons attending shall have the right to discussion, but each member Board shall be entitled to one vote only.

ARTICLE VII - OFFICERS

There shall be a President, Vice-President, Secretary and Treasurer comprising the "Executive Board". Officers must be current members of member Boards and shall be elected at the annual meeting. Their terms of office shall begin July 1 of the year of the election and be for two (2) years. The President may not succeed him/herself in the office of the President but any officer, other than the President, may succeed him/herself in that office.

The immediate past President shall remain a voting member of the Executive Board provided he/she is a current member of a member Board for a term of two years but this does not entitle the immediate past President to an additional vote on the Executive Board.

In the event of a vacancy occurring during the elected two year term of an officer, a replacement shall be approved by the Executive Committee.

The duties of these officials shall be the usual duties performed by incumbents of the respective offices.

ARTICLE VII - COMMITTEES

EXECUTIVE COMMITTEE: There shall be an Executive Committee consisting of the four officers and the Past President as defined in Article VII above. These will be designated by each member representative each year in time to take office in July (the beginning of the school fiscal year). Any vacancies occurring on this Committee shall be filled by the district concerned and shall be for the expired portion of the vacant position. The Committee shall meet upon the call of the President or his/her designee, who, with two other members, shall constitute a quorum, providing separate districts are represented in the quorum. The committee shall arrange for the place of the meetings, and be responsible for the programs for all meetings. It shall audit and direct payment of claims and account against the Association.

NOMINATING COMMITTEE: The Executive Director shall convene a meeting of the Nominating committee in January for selection of proposed officers to be presented in the spring of the school year. There shall be four (4) members of the committee, who shall canvas the membership and selection for nomination persons to fill the offices to become vacant at the time of the annual meeting. Said recommendations shall be presented for a majority vote at the annual meeting.

STANDING COMMITTEES:

The following are standing Committees, whose members are selected by a vote of the members at the beginning of each year:

Audit Committee - Reviews the books and records of the Treasurer

Budget Committee - Assists the Treasurer in compiling the proposed budget each year

Dinner Committee - Assists the Executive Director in organizing the Annual Dinner

Eddy Committee - Obtains applications and chooses the recipient of the annual award

Legislative Committee - Works with the members, the Lower Hudson Education Coalition and NYSSBA in creating the legislative priorities

Nominating Committee (every two years when elections are imminent)

ARTICLE IX - PARLIAMENTARY PROCEDURE

At all meetings of the Association of any Committee, Roberts Rules of Order, latest revision, shall govern and a majority of this eligible and present shall control.

ARTICLE X - AMENDMENT

These by-laws may be amended by a majority vote of the member boards present at any regular meeting, provided the proposed amendment shall have been presented to each member Board previous to action being taken thereon.
